A quitclaim, in relation to labor law, is defined as a waiver of a claim by an employee against his employer. An employer who may want to prevent an employee from filing future cases for the recovery of his monetary claims would be encouraged to prepare a quitclaim agreement in favor of the employee to prevent the latter from filing future monetary claims. In other words, a quitclaim is executed in order to settle once and for all the disputes arising from such employment relation and to close the lid on an impending litigation.
Are quitclaim agreements valid? Yes, quitclaims are valid contracts under Philippine laws. The validity of quitclaims coincides with Article 1306 of the Civil Code of the Philippines which states: "The contracting parties may establish such stipulations, clauses, terms and conditions as they may deem convenient, provided they are not contrary to law, morals, good customs, public order or public policy."
The requisites for a valid quitclaim are: 1) that there was no fraud or deceit on the part of any of the parties; 2) that the consideration for the quitclaim is credible and reasonable; and 3) that the contract is not contrary to law, public order, public policy, morals or good customs or prejudicial to a third person with a right recognized by law. (See Francisco Soriano, Jr. vs. NLRC et al., G.R. No. 165594 April 23, 2007). In other words, employees, must not have been deceived in signing, or taken advantage of their vulnerability and ignorance of the law.
A quitclaim is a valid and binding, provided that it constitutes a credible and reasonable settlement, and that the one accomplishing it has done so voluntarily and with a full and complete understanding of its import and consequences. (See Plastimer Industrial Corporation et al. vs. Natalia C. Gopo et al. G.R. No. 183390 February 16, 2011).
Usually, a quitclaim is prepared by the employer and is being utilized in instances where an employee files a labor dispute and subsequently agrees to a settlement, or when a resigning employee has been terminated from employment but given a substantial severance pay so that no future litigation can be filed by the employee for recovery of additional monetary claims.
Are there instances when a quitclaim has been declared void and ineffective? The answer is in the affirmative. According to jurisprudence, even if an employee has signed a satisfaction receipt for his claims, it does not necessarily result in a valid quitclaim. A quitclaim may not be considered as a valid agreement where a worker agrees to receive less compensation than what he is entitled to recover. It is well-settled that a deed of release or quitclaim cannot prevent an employee from demanding benefits to which he is legally entitled. The reason why quitclaims are commonly frowned upon as contrary to public policy, is that the employer and the employee do not obviously stand on the same footing, the tendency for the employer to drive the employee to the wall. (See Lourdes Marcos et al. vs. NLRC et al., G.R. No. 111744 September 8, 1995)
While rights may be waived under Article 6 of the Civil Code of the Philippines, the waiver must not be contrary to law, public order, public policy, morals or good customs or prejudicial to a third person with a right recognized by law. A quitclaim agreement is considered void where it obligates the workers concerned to forego their benefits while at the same time exempting the employer from any liability that it may choose to reject. This also runs counter to Article 22 of the Civil Code of the Philippines which provides that no one shall be unjustly enriched at the expense of another.
So how can quitclaims be validly enforced? It boils down to being transparent during negotiations. Parties must be well-informed of all the necessary data to enable each one to make a sound decision before signing a quitclaim agreement. All cards must be laid down the table with nothing to hide. This way, parties can effectively negotiate on a substantial settlement, even if it does not coincide with each other's ideal expectations.

DeleteDear Dory, whenever a quitclaim is signed, it presupposes that final pay has been done. Having employees sign a quitclaim before they receive payment may not be accepted by the employee.

I have been communicating closely with the manager regarding my exit as early as feb 15. they have been insisting that I undergo clearance procedures and sign the quit claim form before I get my final pay. I told them I won't be signing anything unless I've claimed everything (my salary for feb 15-30 plus march 01-15 less deductions). What they want me to do is get my salary for february less deductions then sign the quit claim then wait for the march payment to be deposited to my account after. Sounds ridiculous, doesn't it? My suggestion is to negotiate your concerns with the HR Manager who will usually explain to you the reason for signing quitclaims before receiving your salary. Try to make negotiations if the exchange for your salary and signing of the quitclaim can be done simultaneously. Thank you.
Deletei was employed by a bank for 15 years, and i voluntarily resigned last march 9, 2012. they said that i will have to sign the quitclaim before they release the check for my separation pay. i told them that it would be unethical for me to sign the quitclaim and have it notarized when in fact i have not received the check. furthermore, is it not that the employer is the one who is tasked to prepare such and have it notarized? they said that it is policy. quitclaim first before they mail me the check. is this illegal?
ReplyDeleteBased on what you are stating, I still believe that there has been a miscommunication here along the way. I suggest that you set an appointment with the HR Manager to facilitate the release of your check. Request if it is possible if the quitclaim signing and release of your paycheck be done simultaneously.

Whether you require him to sign a quitclaim, you cannot stop him from filing an illegal dismissal case (just in case). However, requiring him to sign a quitclaim can be considered as evidence, although not conclusive.

ReplyDeleteI suggest that you speak with the HR Manager and seek deduction for the lost of the company I.D. and that your salary will be given to you less than the expenses for the processing of the lost company ID. You may wish to submit an affidavit of loss to prove that you can no longer find your company I.D.

DeleteHi Atty. Christine, I was terminated back in 2012. I have then filed for an illegal dismissal case in DOLE Laguna. 3 meetings no show from the respondent. So I filed the case with NLRC Laguna. Still no show from respondent. I then filed a position paper and waited for the decision of the labor arbiter. Since it was then more than a year that I have been waiting for a settlement with my company I had to process my clearance as I was financially in a hole. Upon releasing of my final pay, I had to sign a quitclaim before they can release my final pay. So I had no choice but sign. I needed the funds badly. That was April of 2013. On November 2013 I recieved the decision of NLRC in my favor. So there was a pre-execution conference held Feb 18, 2014. Attorney of respondent was there and has informed me that they will comment on the decision with the quitclaim at hand. Sorry for the lengthy story. Do I still have a chance to claim my position paper? Reinstatement, wages during out of work and other monetary claims?

I've been with the company for almost 2 years now and I got promoted to an Operations manager last 09/2015 they have not paid me as a manager since then but they have given me an increase just March of 2016 as a supervisor and not a Manager. But they said that I can't receive yet the settlement amount. So I signed it but the company wants me to sign their version of quit claim. ReplyDeleteHi Mam my name is Francis, I filed my resignation to this previous company last may 2016 because they wanted me out.. basically I told them that I will get all my claims after 30 days. It lasted until july and keep on follow ups to them. Until I went to DOLE to seek help. ReplyDeleteHi, just want to ask, I'm currently residing abroad and I have resigned with my employer in the Philippines for about 2 years or so, now I have executed a duly notarize Power-of-Attorney through the Philippine Consulate (a.k.a Red Ribbon), now the issue is, my previous employer there in the Philippines doesn't want to release my final pay cheque to my attorney-in-fact unless I execute a final claim form sign by me. The thing is, the SPA that I have executed from consulate states that my attorney-in-fact can sign any documents related to my clearance and backpay as well as claiming my cheque. Your brother my ask the company to send the quit claim via email or mail then signed nya at padala ulit sa company. He can also ask the company to deposit the final pay to his account pAra no need for him to travel from Mindanao to Manila.
Anyways, SPA (special power of attorney) is also possible so that the representative can signed his quit claim.

Notice that the cheque is lacking of one sign after i signed all the documents ,and then they told me to get back again for 2wiks to get the cheque again what will be the fine case if they refuses to give my cheque when i already signed the documents that they needed

DeleteDon’t signed the quit claim. Pagkaka alam ko dapat na compute na muna ang retrenchment pag nyo with visibility of the computation Bago mag signed ng quitclaim. Then check nyo rin Ano ba nakalagay sa quitclaim. Baka nakalagay don na agree kau na Mataram lang kayo ng isang cut off ng company. Or less pa. if they will force you to signed it. Ask ko lang po nanalo n po s case yung cousin ko which is our employee and the decision was for me to pay a huge amount so before ng settlement date kinausap ko po sya at pumayag sya s mababang halaga at pumirma sya ng quit claim at di narin po sya umattend ng hearing day. DeleteI am not an attorney Pero based on your case you legally wla kana habol Kasi you signed the quit claim. Then before signing the quit claim naka attached din don ang computation ng final pay mo. Meaning you’ve checked and understand.
Hence, if you are in good terms naman with your previous employer and you may ask and consult them again. I think they will entertain you. Instead of going to SENA At magagastosan ka lang kakapamasahe.
Pls correct me if I am wrong or I missed anything else on this.

Hi Attorney! I resigned from my previous company last July 21, 2018. IT state in my resignation letter that my last dat of serice is until Aug. 21 (30 days notice). The company acknowledged my resignation leter on July 23 and the letter stated that it is also my last day. May suspension memo pa nga na pahabol. The reason is that they want me out of the company and hinintay lang nila ako mag file ng resignation letter because a former colleague told me that they want to terminate me. Mabuti na lang at naunahan ko sila. After 3 months, the Finance Manager told me to go to their office to sign a quitclaim because the amount I will receive will be paid to my paluwagan and company loan. The thing here is you make sure to check first the computation of your final pay. If everything are correct.

Holiday pay
Night differenial
Prorated 13th month pay
Deductions such as:

Company loan
Sss
Philhealth
Pag ibig
Tax
If lahat yan are in place and ceritified correct. You read the quit claim. If you agree what is written to your quitclaim then you may signed it. Make sure that the time you signed the quit claim the certificate of employment will be provided to you. Hindi pwede ipahabol yon. Dapat sabay yon na maibibigay sayo.

Hi, Atty. I have resigned with my company last Aug. 31, but up to know they are not releasing my backpay. They want me to sign first the quitclaim and voucher and send them back to them before they will deposit the backpay to my account. Another thing is I have pending SSS contributions of 6 months unposted. They are based in Manila and i am now based in Bicol. What could be the best for this matter? Thanks in advance.
ReplyDeleteYou may signed The quitclaim Pero make sure na Nakasaad doon sa quitclaim na cleated ka sa company and Wala kana liabilities.
ReplyDeleteSecond point is make sure na naka lagay sa quitclaim that the company is not cleared to their liabilities to you RE with your government contribution.
You may also ask them kailan silam maka commit to update your contribution. If Wala sila commitment Pwede ka pumunta sa SSS at mag reklamo. Make sure na documented ang response ni company from you na nag communicate ka sa kanila.
What your company is doing is labag sa batas. SSS OPLAN SITA is very specific on that kind of company malpractices.
May Laban ka if they will not edit the quitclaim na hindi sila clearers sayo. Kasi Ikaw cleared kana Pero sila Hindi pa. Pag nag signed ka nyan Wala ka karapatan magreklamo bakit hindi updated ang government mandated benefits mo.
They don't have the commitment date they just promised to look to it and settle. Bayad nmn sya i had a copy of proof of payment, di lang sya posted.

To make the story short my girlfriend was given a repatriation by POEA but still the school won't let my girlfriend go home. Frustrated, alone, and starved, she withdrew her case and signed a quitclaim in Jeddah, KSA. Quitclaim is a document signed that the employer and you as an employee are both cleared to any obligation. If you signed a quitclaim and no pay yet. Then you already agreed that they are cleared of any obligation to you.

ReplyDeleteThe reason why there is a quitclaim is for you and your employer be cleared with any obligation. So you need to have a proper turn over. Do the exit interviews and clearance. But what if an employee went awol and went back to the employer after a month or so to process his/her clearance? That is possible and you can still get your final pay and signed a quitclaim. That is if you still have the face to the employer after you went AWOL. 🙂
ReplyDeletehi, there is something I want to ask. Last October, our employer told us that they will terminate our contract due to retrenchment. They told us, that the settlement fee includes: 1. the whole month of November, whether we will go to work or not, as long as we hand over to our supervisors. 2. one (1) month salary as termination fee 3. ITR 4. 13th month pay.

Since at that time, I really need the money, I signed the quitclaim that I had received the amount computed by our HR. My co-workers didn't sign the quitclaim, and they went to DOLE. They already received the November pay. My question is, will I be able to get my November pay although I signed the quitclaim?
They didn't give me a copy of the computation, the HR only discussed it to me during our meeting. Since I was not aware that my co-workers questioned the unpaid November as they promised us the will pay it. I respected our HR's explanation that the upper management didn't approve their appeal that they will pay the our November salary.
ReplyDeleteBased on your statement. You signed the quitclaim already. It means you fully understood what is written on the document and you fully accepted the computation presented to you by the HR department. That means you can’t have your November salary. However you can ask your HR about it on a nice way. They might reconsider.
ReplyDeleteI signed the quitclaim because they explained that it was the decision of upper management, that they can't do something about it anymore, so basically, I didn't have the courage to question/ask why they can't give us what they had promised. My co-workers complained AFTER I signed the quitclaim (We are asked to report to the office one by one, I was the first one who were scheduled), that made our employer credit the unpaid November pay to them.

Now our company is being taken over by another company and they're offering separation pay to employees then some of them are being rehired and/or forced to resign. Do you think I would still be included in the list of employees who will get separation pay given that I haven't signed quitclaim and haven't accomplished any company clearance? And I filed a resignation last June 25,2020 because of pandemic we don't have work and no salary since April 2020. My company asked me to pay a penalty 8,750 SAR for breaking the contract and for them to process my exit visa. I already paid it. And my company send an email to with a form to fill up a quitclaim and settlement agreement. What will happen if I will refuse to sign? Because there was a statement that my company already paid all my salary and that I don't have any complaints to my company. And there was no statement that I paid 8,750 SAR as my penalty for breaking the contract. I have a lot of valid reasons to resign and leave the company. ( My basic monthly salary was just 1,500 SAR). DeleteHi I am not sure if Atty Christine will respond to you right away. I am not an expert when in terms to obligation and contract with an overseas employment. I suggest kabayan you go to the embassy and seek assistance. Bring your company contract for them to help you checked which part of the contract that you breach and which part of the employment contract that will be in favor of your concern. For sure the employment is no longer in mutual conditions since sabi mo no salary kana since April 2020.

DeleteHi. Question po. Sept 2019 po ako nagresign from my previous company. Mag 1 year na ako sa new company ko. Nakapagsign na din ako ng quitclaim at release waiver sa prior company. However, recently, nadiscover ko na may kulang na deductions yung previous company ko for my sss calamity loan kaya di po ako makapag renew ng loan. As from my prior company, inoffset daw yung calamity loan ko salary loan ko. Ang kaso po, dapat nagdeduct pa din sakin si company since kulang pala yung naoffset. May habol pa po kaya ako sa previous company ko? Nagka penalty na po kasi yung calamity loan ko na yun dahil di po ako aware na kulang ang nadeduct sakin. 😔

Have it signed and then just give to our employer before they release our final pay and separation pay? DeleteIs it safe to signed? YES IF:
1. Together with the quitclaim is attached the full computation of your separation pay is correct.
2. No current dispute on your government contributions.
3. COE kasama ba or to be followed?
4. Is it stated on the communication the release date of your separation pay? Will it be released or sent to your bank acct once they received your signed quitclaim?
If may dispute ka. Communicate first with your HR.or any clarification. Communicate it with email not call. It should be documented to protect yourself .
If all doubts are answered by your employer and it is documented. Signed it.
Any existing dispute like hindi updated contribution. You can attached a document notarized stating that your government contribution is not updated and pn dispute with your employer. Better safe than never.

ReplyDeleteHello po. I resigned last July 25 po. And have my clearance a week after my resignation. And got my affidavit of quitclaim amounting of 26k and have it notarized. And our accounts payable said that I will not get the 26k quitclaim. They cut it into 13k since hindi nag approved ang owner sa incentive ko for April and May which is dapat na receive ko na yan before ako magresign pero mabagal ang process nila and now they cancelled it even if part sya sa computation ng quitclaim ko. My question is, can they still revised the quitclaim even if naka-notarize po ang affidavit ng quitclaim?

Ni rerequired nila kasi na pirmahan ko at during office hour lng nila. Ang problem ko po is may work na ako sa bagong company ang status ko po is trainee bawal umabsent at ma late. Nakikiusap ako sa dati ko company na isend n lang via registered mail o iwan sa guard then doon n lng ko po pirmahan. Salamat po.
